Wholesale Payment Terms & Conditions In English

1. Order Confirmation & Advance Payment

All wholesale purchase orders (POs) placed with Bruchi Club shall be confirmed only upon receipt of 50% advance payment of the total PO value. Production, procurement, or order processing will commence strictly after the advance payment is received and acknowledged by Bruchi Club.

2. Balance Payment Before Dispatch

The remaining 50% balance payment must be paid in full before dispatch or delivery of the goods.
No shipment shall be released, dispatched, or handed over to the logistics partner unless the complete payment has been received by Bruchi Club.

3. Mode of Payment

Payments can be made through approved modes such as Bank Transfer

4. Delivery Timeline

Delivery timelines provided are estimated and shall commence only after:
Receipt of 50% advance payment, and Confirmation of order details (quantity, size mix, colors, designs).

Any delay caused due to late payment of the balance amount will automatically extend the delivery timeline.

5. Non-Refundable Advance

The advance payment is non-refundable once the order is confirmed, as products are manufactured or allocated specifically against the confirmed purchase order.

6. Cancellation & Modification

Order cancellations or modifications after PO confirmation are not permitted without written approval from Bruchi Club.
Any approved cancellation may result in forfeiture of the advance payment, depending on the production stage.

7. Ownership of Goods

Ownership and title of the goods shall remain with Bruchi Club until full and final payment is received.

8. Dispute Resolution

All wholesale transactions shall be governed by Indian laws. Any disputes arising shall be subject to the jurisdiction of Ghaziabad, Uttar Pradesh.

9. Acceptance of Terms

Placing a purchase order and/or making the advance payment shall be deemed as acceptance of the above terms and conditions by the wholesale customer.

1. ऑर्डर कन्फर्मेशन और एडवांस पेमेंट

ब्रुची क्लब के साथ दिए गए सभी थोक खरीद ऑर्डर (PO) कुल PO मूल्य के 50% एडवांस पेमेंट मिलने पर ही कन्फर्म किए जाएंगे। प्रोडक्शन, खरीद, या ऑर्डर प्रोसेसिंग सख्ती से एडवांस पेमेंट मिलने और ब्रुची क्लब द्वारा स्वीकार किए जाने के बाद ही शुरू होगी।

2. डिस्पैच से पहले बाकी पेमेंट

बाकी 50% पेमेंट सामान के डिस्पैच या डिलीवरी से पहले पूरा भुगतान किया जाना चाहिए।
जब तक ब्रुची क्लब को पूरा पेमेंट नहीं मिल जाता, तब तक कोई भी शिपमेंट जारी, डिस्पैच या लॉजिस्टिक्स पार्टनर को नहीं सौंपा जाएगा।

3. पेमेंट का तरीका

पेमेंट स्वीकृत तरीकों जैसे बैंक ट्रांसफर के माध्यम से किया जा सकता है।

4. डिलीवरी टाइमलाइन

दी गई डिलीवरी टाइमलाइन अनुमानित हैं और केवल तभी शुरू होंगी जब:
50% एडवांस पेमेंट मिल जाए, और ऑर्डर डिटेल्स (मात्रा, साइज़ मिक्स, रंग, डिज़ाइन) की पुष्टि हो जाए।
बाकी राशि के देर से पेमेंट के कारण होने वाली कोई भी देरी स्वचालित रूप से डिलीवरी टाइमलाइन को बढ़ा देगी।

5. नॉन-रिफंडेबल एडवांस

ऑर्डर कन्फर्म होने के बाद एडवांस पेमेंट नॉन-रिफंडेबल है, क्योंकि प्रोडक्ट विशेष रूप से कन्फर्म खरीद ऑर्डर के अनुसार बनाए या आवंटित किए जाते हैं।

6. कैंसलेशन और मॉडिफिकेशन

PO कन्फर्मेशन के बाद ऑर्डर कैंसलेशन या मॉडिफिकेशन ब्रुची क्लब से लिखित अनुमति के बिना स्वीकार्य नहीं हैं।
किसी भी स्वीकृत कैंसलेशन के परिणामस्वरूप प्रोडक्शन स्टेज के आधार पर एडवांस पेमेंट जब्त किया जा सकता है।

7. सामान का स्वामित्व

सामान का स्वामित्व और टाइटल ब्रुची क्लब के पास तब तक रहेगा जब तक पूरा और अंतिम पेमेंट नहीं मिल जाता।

8. विवाद समाधान

सभी थोक लेनदेन भारतीय कानूनों द्वारा शासित होंगे। उत्पन्न होने वाले किसी भी विवाद पर गाजियाबाद, उत्तर प्रदेश के क्षेत्राधिकार के अधीन होगा।

9. शर्तों की स्वीकृति

खरीद ऑर्डर देना और/या एडवांस पेमेंट करना थोक ग्राहक द्वारा उपरोक्त नियमों और शर्तों की स्वीकृति माना जाएगा।
